DRAFT — under review

These terms are a working draft and are being finalised before any partner is paid. They set out how the Programme is intended to operate; the final published version will govern your participation.

Partner terms

These terms explain how the LetSorted Partner Programme works — who can join, how referrals and commission are calculated, how you get paid, and the standards we ask partners to meet. By joining, you agree to them.

1. About these terms

These terms govern the LetSorted Partner Programme ("the Programme"), operated by LetSorted ("we", "us", "our"). They form an agreement between us and you, the partner ("you", "your"). By applying to or taking part in the Programme you agree to these terms.

We may update these terms from time to time. Where a change materially affects commission you have already earned, it will not be applied retrospectively — earned commission is calculated on the terms in force when it accrued.

2. Eligibility

The Programme is open to genuine property professionals — at launch, independent inventory clerks and inventory agencies. You must be legally able to carry on that business in the UK and provide accurate information about yourself and your business when you apply.

Every application is reviewed by hand. We may decline any application, and we may suspend or remove a partner, at our discretion — for example where information is inaccurate, where conduct breaches these terms, or where we are required to do so by law.

3. Referrals and attribution

A landlord is attributed to the first partner who introduces them — whether through your referral link or by naming you when they sign up. This "first-partner-wins" rule is applied once, at the point the landlord's account is created.

Attribution is permanent for that landlord and does not transfer to another partner afterwards. The commission rate that applies to a landlord is fixed ("snapshotted") at the moment they are attributed to you, and does not change even if your rate is later adjusted for future referrals.

You may only introduce landlords who genuinely wish to hear about LetSorted. You must never create accounts on a landlord's behalf, or attribute a landlord to yourself without their knowledge and consent.

4. Commission

When a landlord attributed to you pays for an eligible LetSorted service, you earn a commission calculated as your agreed rate applied to the amount they pay for that service. Your rate is agreed with you and set on your partner record when you are approved; if no rate has been set, no commission accrues.

Eligible services currently include LetSorted subscriptions, tenant screening, tenancy agreements and evidence packs. We may add or remove eligible services over time. Commission is calculated on a GROSS basis — that is, on the amount the landlord is charged for the service.

Commission is only earned on genuine, completed, paid activity. If a payment is later refunded, charged back or reversed, the related commission is voided and removed from your balance. We may also reverse commission that arises from activity we reasonably believe to be fraudulent, mistaken, or in breach of these terms.

You remain responsible for your own tax affairs. Commission figures shown in your dashboard are stated exclusive of VAT; whether VAT applies depends on your own VAT status. [VAT / invoicing treatment to be confirmed at founder/legal review.]

You earn commission on a landlord's eligible spend for as long as both you and the landlord remain in good standing on the Programme. We do not guarantee any particular level of earnings, and the Programme does not create any employment, agency, partnership or joint-venture relationship between us.

5. Payouts

You can request a payout once your available (earned but unpaid) commission reaches the minimum threshold of £20. Below that threshold your balance simply carries forward until it is reached.

To be paid you must give us valid payout details (a UK bank account, a Revolut tag, or both). These details are stored securely and are only accessed when we settle a payout. Payouts are made manually by us, ordinarily by Revolut or bank transfer, to the details you have provided.

You can hold only one payout request open at a time. Once you request a payout, the corresponding commission is set aside pending settlement; once we mark it paid, it moves to your paid total. We may decline or hold a payout where details are missing or invalid, where amounts are in dispute, or where we are investigating a possible breach of these terms.

6. Good standing, suspension and ending the Programme

You must represent LetSorted honestly and comply with all applicable UK law, including marketing and data-protection law. You must not use spam, misleading claims, unauthorised paid advertising on our brand, or incentives that breach the law or these terms.

We may suspend or end your participation at any time if you breach these terms, if your conduct risks harm to landlords or to our reputation, or where we are required to. On suspension, your referral link stops attributing new sign-ups. On ending the Programme, commission genuinely earned and in good standing up to that point remains payable, subject to the payout terms above; unearned or disputed amounts do not.

You may leave the Programme at any time by telling us. Any commission earned and in good standing up to that point remains payable to you under these terms.

7. Data sharing and landlord privacy

To let you see the results of your referrals, we share a deliberately minimised amount of information about landlords you have introduced: a first name (or a non-identifying reference), the broad area of a property, and the commission events generated by their paid activity.

We never share a landlord's contact details, full address, portfolio, or other personal data with you through the Programme. You must treat the limited information we do share as confidential, use it only to understand your own referral activity, and comply with data-protection law in respect of it.

8. Independence and no introduction fee

Where we introduce you to landlords (for example by listing approved partners to a landlord arranging an inspection), we do so as independent professionals, not as our employees or agents. We charge landlords nothing for the introduction, and we charge you nothing for it either — there is no fee to join the Programme and no fee to be introduced.

Any work a landlord engages you to do is a direct arrangement between you and that landlord, on your own terms. We are not a party to it, do not supervise it, and are not responsible for it.

9. Liability

The Programme is provided on an "as is" basis. To the fullest extent permitted by law, we are not liable for any loss of profit, loss of expected commission, or indirect or consequential loss arising from the Programme, and our total liability to you in connection with the Programme is limited to the commission properly payable to you.

Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded.

10. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.
